These Terms and Conditions (“Terms”) govern the use of the website and services provided by Alchemy Effect LLC. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully.

Scope of Services

Alchemy Effect LLC provides creative, digital, and consulting services including, but not limited to, web design and development, branding, digital marketing, SEO and local listings, copywriting, content creation, graphic design, online courses, media production, and event-related services. We may update or expand our services at any time without prior notice.

 

 

Payments & Refunds

A 50% non-refundable deposit is required before work begins on all projects. The remaining balance is due upon delivery, unless otherwise agreed in writing.

All payments must be made on time and in full. We do not offer payment plans for client services. Partial refunds may be issued only under specific circumstances, at the sole discretion of Alchemy Effect LLC.

Online courses or digital products may include their own payment or refund terms, which will be stated clearly at the time of purchase.

Client Responsibilities

Clients agree to provide all necessary materials, information, and approvals required for the project in a timely manner. This includes, but is not limited to, text, images, branding assets, logins, and feedback.

Delays in providing these materials may result in project delays. Alchemy Effect LLC is not responsible for missed deadlines or additional costs caused by a client’s failure to provide required content or approvals on time.

Intellectual Property

All designs, content, code, and deliverables created by Alchemy Effect LLC remain the intellectual property of Alchemy Effect LLC until full payment has been received. Upon receipt of final payment, ownership rights to the final deliverables are transferred to the client.

Alchemy Effect LLC retains ownership of any pre-existing materials, proprietary tools, methods, or frameworks used in the creation of the project. The client receives a license to use these materials only as part of the final deliverables.

Revisions & Changes

Each project includes up to two (2) rounds of revisions, unless otherwise agreed in writing. Additional revisions, changes in scope, or requests beyond the agreed deliverables will be billed separately at our standard rates.

Any significant changes to the project after work has begun may require a new proposal, timeline, and fee structure.

Limitation of Liability

Alchemy Effect LLC will make every effort to deliver professional, high-quality work. However, we are not liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, business interruption, data loss, or issues arising from third-party platforms (such as hosting providers, payment processors, or analytics tools).

Our total liability for any claim related to our services will not exceed the amount paid by the client for the specific project in question.

Termination of Agreement

Either party may terminate a project with written notice if the other party breaches these Terms, including but not limited to non-payment, failure to provide required materials, or unprofessional conduct.

In the event of termination by the client, the deposit remains non-refundable and any completed work up to that point must be paid in full. If termination is initiated by Alchemy Effect LLC, the client will receive all deliverables completed and paid for to date.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in New York.

Dispute Resolution

In the event of any dispute arising out of or relating to these Terms, both parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached, the parties agree to submit the dispute to mediation before pursuing any formal legal action.

If mediation is unsuccessful, any legal proceedings shall be conducted in the state or federal courts of New York, as outlined under Governing Law.

Portfolio Use

Unless otherwise agreed in writing, Alchemy Effect LLC reserves the right to display completed projects, including designs, websites, branding, and marketing materials, as part of our portfolio and promotional materials. If a client requests confidentiality, we will honor that request and exclude the project from public display.

Entire Agreement & Updates

These Terms and Conditions constitute the entire agreement between Alchemy Effect LLC and the client, superseding any prior discussions, agreements, or understandings. Alchemy Effect LLC reserves the right to update or modify these Terms at any time. Updates will be posted on our website, and continued use of our services constitutes acceptance of the revised Terms.
